Moviir — Terms of Service

1. Who is contracting

These Terms of Service ("Terms") form a legally binding agreement between you and Tashie Lyonns d/b/a Moviir ("Moviir," "we," "us," "our"). If you do not agree, do not access Moviir.app or install the Moviir desktop application.

2. Overview of the Service

• Moviir.app – a marketing site that collects emails for a wait-list and processes payments via Stripe.
• Moviir desktop app – an Electron program that transforms a user prompt (plus optional local media) into long-form videos using AI models (OpenAI Whisper, Google Gemini, Ollama, ElevenLabs, etc.).

Plan tiers: Free, Paid, and Premium, each with different usage throttles. No refunds; you may cancel future billing at any time in your Stripe customer portal.

3. Eligibility & Age

You must be at least 13 years old and legally able to form a contract in your jurisdiction. If you are under 18, you may use Moviir only with parental/guardian consent.

4. Your Account

• Provide accurate information and keep it up to date.
• You are responsible for safeguarding login credentials and any activity under your account.
• We may suspend or terminate accounts that violate these Terms or applicable law.

5. Payments, Plans & Cancellation

• Subscriptions are billed monthly in advance via Stripe.
• No refunds or prorated credits. Cancel anytime to stop future charges; you retain access until the current paid period ends.
• We may change pricing or features with at least 14 days' notice by email or site banner.

6. License to You

We grant you a limited, non-exclusive, non-transferable license to use the Moviir software and website for your own lawful purposes, subject to these Terms. You may not reverse-engineer, resell, or provide unauthorized access to others.

7. Ownership of AI-Generated Output

You own all video, audio, and text outputs generated from your prompts, worldwide and royalty-free, for any lawful (including commercial) use. You warrant that your prompts and optional media do not infringe third-party rights; Moviir disclaims all liability for how you or others use generated content.

8. Prohibited Conduct

• Violations of intellectual-property or privacy rights.
• Generating or distributing unlawful, hateful, or exploitative content.
• Attempting to bypass usage limits or security measures.
• Uploading malicious code or interfering with the Service's operation.

9. Copyright & DMCA

If you believe content generated using Moviir infringes your copyright, email a takedown request to support@moviir.app with the details required under 17 U.S.C. §512(c)(3). We will respond promptly.

10. Disclaimers

• The Service is provided "as is" without warranties of any kind, express or implied (including fitness for a particular purpose, non-infringement, or accuracy of AI outputs).
• We do not guarantee uninterrupted availability or that outputs will be free of third-party claims.

11. Limitation of Liability

To the fullest extent permitted by law, our total aggregate liability under these Terms will not exceed the amount you paid Moviir in the 12 months preceding the claim, or USD 100 if greater. We are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data, goodwill or revenue.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law rules.

Binding arbitration. Any dispute that cannot be resolved informally will be finally settled by single-arbitrator, confidential arbitration in Harrisburg, Pennsylvania, under the Commercial Arbitration Rules of the American Arbitration Association. No class actions—you and Moviir agree to resolve disputes only on an individual basis.

You or Moviir may assert claims in small-claims court if they qualify.

13. Export Compliance & Sanctions

You may not use Moviir if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions, or if you are on any U.S. government denied-party list.

14. Modifications to the Terms

We may update these Terms from time to time. Material changes will be posted on this page and, when possible, emailed to registered users at least 7 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
